FINAL NOTICE AND DEMAND

TO: Lawrence E. Condit
          c/o 376 South Stone Avenue
          Tucson, Arizona state

FROM: Paul Andrew, Mitchell, B.A., M.S.
          Counselor at Law

DATE: March 22, 1997

SUBJECT: FINAL NOTICE AND DEMAND

This is to remind you that, on three separate occasions --
January 11, 1997, February 11, 1997, and March 11, 1997 -- I have
written to you requesting a certified copy of your license to
practice law in the State of Arizona, and also written
confirmation that you have been retained by the Nordbrocks in
civil and/or criminal matters. To date, you have not provided
the requested information. Copies of those letters are attached.

I am also in receipt of a fax copy of your recent letter to
Richard Scully, dated March 19, 1997, concerning the offer which
you allege the Nordbrocks have made to settle the case of
Mitchell v. Nordbrock, no. 97-3438. This letter alleges that you
are also "Admitted to Arizona, California, Hawaii and Kansas."

Before it is possible for Me to give such a letter My serious
consideration, I hereby demand that you produce the documents
previously requested of you in writing. Your failure to produce
the requested documents, in response to My three (3) previous
letters, is sufficient cause for Me to proceed on the basis of
the presumption that you cannot produce the requested documents,
for reason(s) which are presently unknown to Me.

For proof of the validity of My position in this regard, please
consult the two decisions: U.S. v. Tweel, 550 F.2d 297, 299
(1977) and Carmine v. Bowen, 64 A. 932 (1906). According to
Tweel, silence is fraud where there is a legal or a moral duty to
speak. If you are an officer of the courts to which you claim to
be admitted, you are bound by your oath of office to produce
evidence of the oath required of you by Article VI, Clause 3.
Moreover, silence also activates estoppel by acquiescence,
pursuant to the Carmine case.

                        DEMAND FOR PROOF

Accordingly, I hereby demand that you produce certified evidence
of your license to practice law in the State of Arizona (if any),
and certified evidence of any power(s) of attorney you may have
received from Mr. and/or Mrs. Neil Thomas Nordbrock.

                       NOTICE OF DEADLINE

Please provide the requested documents by mailing same to the
lawful mailing location shown below, on or before 5:00 p.m. on
Friday, March 28, 1997. Fax transmission will not suffice.

Thank you very much for your consideration.

Sincerely yours,

/s/ Paul Andrew Mitchell
